Due diligence is a major component of any M&A transaction anywhere in the world. In China, due diligence takes on added importance, due to a number of factors that are inherent in its history, business culture, and legal infrastructure. Investors into the country may find that practices vary greatly from region to region, which requires careful strategies for planning acquisitions.

China’s investment environment presents unique challenges, especially for American and European investors. For many reasons, including culture and recent history, China is simply ‘different’. This means that much less can be assumed and much more has to be confirmed. With the world’s largest population and fourth-largest land mass, the country has experienced historically unprecedented rapid change. One of the results is an uneven distribution of business norms and practices within the population and across geographic regions. Again, very little can be assumed.
