Baker & McKenzie advised Hong Kong-listed Matrix Holdings on its acquisition of all of the equity interests of The Funrise Group for a consideration of US$23 million, subject to certain adjustments. Matrix will indirectly hold 100% of the equity of the Funrise Group through Maxibase International, an indirect wholly-owned subsidiary of Matrix.
The Hong Kong securities team of Baker & McKenzie advised China South City Holdings on its issuance of US$125 million secured convertible notes, due in 2012, to professional investors. The notes will be convertible into fully-paid ordinary shares of China South City Holdings. Merrill Lynch acted as the placing agent of the notes offering.
