China-based property developer Fantasia Holdings Group has made a US$120 million Rule 144A/Reg S offering of its 14% senior notes due 2015. The initial purchasers were Citigroup Global Markets, Merrill Lynch and UBS.
A Davis Polk & Wardwell team, led by Hong Kong partners William Barron, Show-Mao Chen and James Lin advised the initial purchasers on US law. King & Wood served as the initial purchasers' PRC counsel. On the issuer side, Sidley Austin acted as Fantasia's US and Hong Kong counsel, while Commerce & Finance Law Offices advised on the PRC law aspects.
