1) What legislation governs M&A activity in your jurisdiction?
Two different types of mergers and acquisitions are usually distinguished in the Netherlands: (i) private (non-listed) companies, and (ii) public (listed) companies. When acquiring a private company, parties in general have a lot of freedom. Partly due to European legislation, bidders for public companies need to comply with several rules governing the bidding process.
