Renhe Commercial Holdings, a PRC-based underground shopping center operator and developer, has made a Rule 144A/Regulation S offering of senior notes for the second time in 2010.
Renhe issued US$300 million of 13 percent senior notes due to mature in 2016. The initial purchasers for the offering were Boci Asia, Merrill Lynch International and UBS.
A Davis Polk & Wardwell team led by Hong Kong-based William Barron and Show-Mao Chen acted for Renhe. Colleagues from London and New York were also involved. Jingtian & Gongcheng was PRC counsel to the issuer, while Norton Rose advised it on Hong Kong law. Conyers Dill & Pearman advised Renhe on offshore law.
