PRC-based Yuanda China Holdings (Yuanda) has listed on the main board of the Hong Kong Stock Exchange.
The issuer, a manufacturer of curtain walls, raised capital through its Hong Kong initial public offering and Rule 144A/Regulation S global offering. It raised HK$2.25 billion (US$290 million) and plans to use proceeds to expand production capacity, increase its sales and marketing network, repay debts and invest in research and development.
The joint global coordinators were Deutsche Bank, JP Morgan, Standard Chartered Securities and BOCI Asia.
Hong Kong law and US law adviser to Yuanda was Sidley Austin, and its PRC counsel was Jingtian & Gongcheng. A Herbert Smith team, led by Hong Kong partner Gary Lock, represented the underwriters as to Hong Kong and US law aspects. The underwriters' PRC adviser was Commerce & Finance Law Offices. Conyers Dill & Pearman served as Cayman Islands counsel to Yuanda.
