China Fire & Security Group, a provider of fire protection systems in the PRC has entered into a merger agreement with Bain Capital Partners. The deal is valued at US$265.5 million.
The underwriters were HSBC and Citigroup Global Markets Asia, and Barclays Capital was the financial advisor to the Special Committee.
Han Kun Law Offices and DLA Piper advised Weigang Li, the Chairman of the China Fire & Security Group on PRC law and international law respectively. Shearman & Sterling served as US counsel to the Special Committee. Kirkland & Ellis represented Bain Capital as to US and UK law aspects, while Davis Polk & Wardwell acted as US advisor to Barclays Capital. Allen & Overy advised the underwriters on US and UK law.
